Up-Front Fee; Milestones. (a) In consideration for the licenses granted hereunder and access to the Program Information, Cephalon will pay Champions an initiation fee in an amount equal to one million three hundred and ninety thousand Dollars (US $1,390,000) within thirty (30) calendar days of the Effective Date hereof.
