Upfront Payment and Condition Subsequent. (a) Within five (5) days after the Effective Date, Lilly shall pay to Xxxxxxxxx an up-front payment of Two Million U.S. Dollars ($2,000,000), in consideration for the Development Costs incurred up to the Effective Date of this Agreement and license grant under this Agreement.
