Upon my death. In connection with the deposit of the Deeds of Transfer with KH, both the Company and myself will execute a form of escrow agreement with KH, in the form attached hereto as EXHIBIT B (the "ESCROW AGREEMENT"). The Escrow Agreement shall be executed simultaneously with the execution of this Undertaking.
