In connection with the deposit of the Deeds of Transfer with KH, both the Company and myself will execute a form of amended escrow agreement with KH, in the form attached to the Amendment as ANNEX 5 (the "AMENDED ESCROW AGREEMENT"). The Amended Escrow Agreement shall be executed simultaneously with the execution of this Amended Undertaking.
