Common use of Upon Notice by Prudential Clause in Contracts

Upon Notice by Prudential. If contributions are discontinued for all Participants pursuant to section 6.2, Prudential may notify the Contract-Holder that transfer payments will be made to the Contract-Holder or to a financial institution named by the Contract-Holder. Prudential would do this if the contributions are discontinued due to certain circumstances, such as a change in any law or regulation, which in Prudential's judgment would have an adverse effect on Prudential in fulfilling the terms of this contract. In that case, a Transfer Date will be established, Participants' Accounts will be cancelled, and the transfer will be made in the same manner as described in section 3.4(b).
