Common use of Upon Seller Clause in Contracts

Upon Seller. s receipt of notification from Buyer of its rejection of non-conforming goods, Buyer shall wait for Seller to provide it with instructions regarding their disposal which shall be given in a reasonable time, but shall in no event exceed six (6) weeks. Buyer may not return goods unless written authorization is received from Seller. Parties acknowledge that the goods are not perishable and are of such kind that they will not decline in value. If Seller fails to give instructions to Buyer regarding the disposition of rightfully rejected goods within said six (6) week period, Buyer shall have the right to either: (i) store the goods for the account of Seller; or (ii) ship the rejected goods back to the Seller at the expense of Seller.
