Upon termination of the Service Agreement. (a) the provisions of Clause 11 (Confidentiality), 12 (Fees, Disbursement and Expenses), 13 (Liability), 15 (Miscellaneous Provisions) and Clause 16 (Complaints) shall not terminate. (b) any antecedent liability of any party under the Service Agreement, shall continue unless expressly agreed otherwise in writing; and (c) Belasko shall be entitled to receive all fees, disbursements and other expenses properly accrued due up to the date of such termination.
