Common use of U.S. Economic Sanctions Clause in Contracts

U.S. Economic Sanctions. Neither the Company nor any of its Subsidiaries are the target of any sanction administered by the Office of Foreign Assets Control of the United States Treasury Department (“U.S. Economic Sanctions”). Neither the Company nor any of its Subsidiaries make any sales to or engage in business activities with, or for the benefit of, any persons and countries that are subject to trade sanctions and economic embargo programs enforced by the U.S. Treasury Department’s Office of Foreign Asset Control including any “Specially Designated Nationals and Blocked Persons”, as of the date hereof and the list of which can be found at: hxxx://xxx.xxxxxxx.xxx/xxxxxxx/enforcement/ofac/sdn/t11sdn.pdf or any government, national, resident or legal entity of Cuba, North Korea, Syria, Sudan, Iran, Libya or any other country with respect to which U.S. persons, as defined in the U.S. Economic Sanctions, are prohibited from doing business (each a “Sanctioned Country”), and have no intentions or plans to make any such sales or to engage in any such business.
