Common use of U.S. Manufacturing Clause in Contracts

U.S. Manufacturing. COMPANY agrees that any LICENSED PRODUCTS used or sold in the United States will be manufactured substantially in the United States as required under U.S. laws, provided that in the event that COMPANY believes in good faith that substantial manufacture of such product is not commercially feasible in the United States and makes a request to THE PARTIES in writing to assist in obtaining a waiver of such requirement from the United States Government, then THE PARTIES shall, at the reasonable cost of COMPANY, assist in applying for such waiver.

U.S. Manufacturing. To the extent required by applicable law or regulation, COMPANY agrees that any LICENSED PRODUCTS used or sold in the United States will be manufactured substantially in the United States as required under U.S. lawsStates, provided that in the event that COMPANY believes in good faith that substantial manufacture of such product is not commercially feasible in the United States and makes a request to THE PARTIES in writing to assist in obtaining unless a waiver of such requirement obligation is obtained from the United States Governmentrequired government agency. If COMPANY desires to seek a waiver of such requirements, then THE PARTIES shall, at XXXXXXXXX agrees to provide reasonable assistance in the reasonable cost of COMPANY, assist in applying application process for such waiver, upon request of COMPANY.

U.S. Manufacturing. COMPANY agrees that any LICENSED PRODUCTS Licensed Products used or sold in the United States will be manufactured substantially in the United States as to the extent required under U.S. laws, provided that in the event that COMPANY believes in good faith that substantial manufacture of such product is not commercially feasible in the United States and makes a request to THE PARTIES in writing to assist in obtaining a waiver of such requirement by law unless any waivers required are obtained from the United States Government, then THE PARTIES shall, Government by COMPANY. LICENSOR agrees to reasonably assist COMPANY as necessary in requesting and obtaining such waivers at the reasonable cost expense of COMPANY, assist in applying for such waiver.
