No stop order suspending the effectiveness of the Registration Statement or preventing or suspending the use of the U.S. Final Prospectus or any Issuer Free Writing Prospectus shall have been issued and no proceeding or examination for such purpose shall have been initiated or, to the knowledge of the Corporation, threatened by the SEC; and any request of the SEC for inclusion of additional information in the Registration Statement or the U.S. Final Prospectus or otherwise shall have been complied with;
