Common use of USA PATRIOT Act Notice and Customer Verification Clause in Contracts

USA PATRIOT Act Notice and Customer Verification. (a) Each US Lender that is subject to the USA PATRIOT ACT and the Administrative Agent (for itself and not on behalf of any Lender) hereby notifies US Borrower that pursuant to the “know your customer” regulations and the requirements of the USA PATRIOT ACT, they are required to obtain, verify and record information that identifies each US Loan Party, which information includes the name, address and tax identification number (and other identifying information in the event this information is insufficient to complete verification) that will allow such US Lender or the Administrative Agent, as applicable, to verify the identity of each US Loan Party. This information must be delivered to the US Lenders and the Administrative Agent no later than five (5) days prior to the Closing Date and thereafter promptly upon request. This notice is given in accordance with the requirements of the USA PATRIOT ACT and is effective as to the US Lenders and the Administrative Agent.
