Use and Compliance With Laws. Subtenant shall use the Subleased Premises for the Permitted Use (as specified in the Basic Sublease Information) during the Term of this Sublease, and for no other use or uses. Subtenant shall not engage in any activities prohibited by the Master Lease. Subtenant shall not use or store flammable or hazardous materials on the Subleased Premises, except to the extent normally used in the ordinary course of business with respect to the Permitted Use unless such materials are specifically prohibited in the Lease. Subtenant shall not perform any act or carry on any practice which may injure the Subleased Premises or cause any offensive odors or noises that constitute a nuisance or menace to any other tenant or tenants of the Building or the Premises or other persons, and in no event shall any noises or odors be emitted from the Subleased Premises. Nothing shall be done upon or about the Subleased Premises which shall be unlawful, improper, or contrary to any law, ordinance, regulation or requirement of any public authority or insurance inspection or rating bureau or similar organization having jurisdiction and Subtenant shall be in compliance at all times with all such laws, ordinances, regulations and requirements. Subtenant shall observe and comply with, and shall cause its employees, agents and invitees to observe and comply with the restrictions set forth in this Sublease. Subtenant agrees to comply with all rules and regulations that Master Landlord has made or may hereafter from time to time make for the Building and/or the Premises. Sublandlord shall not be liable to Subtenant or any party claiming through Subtenant in any way for damage caused by the failure of any of the other tenants of the Building to comply with such similar or other covenants in their leases or of such rules and regulations.

Use and Compliance With Laws. Subtenant SECTION 12.1 The Premises shall use the Subleased Premises be used only for executive and administrative offices for the Permitted Use (as specified conduct of Tenant's business limited to the uses specifically set forth in the Basic Sublease Information) during the Term of this Sublease, Section 1.1 and for no other purposes whatsoever. Nothing shall be done upon request or about the Subleased Premises which shall be unlawful, improperinsistence of Tenant, or contrary required by reason of a breach of any of Tenant's obligations hereunder or by or through other fault of Tenant, (c) comply with all insurance requirements applicable to the Premises and (d) indemnify and hold Landlord harmless from any loss, cost, claim or expense which Landlord incurs or suffers by reason of Tenant's failure to comply with its obligations under clauses (a), (b) or (c) above. If Tenant receives notice of any such directive, order citation or of any violation of any law, order, ordinance, regulation or requirement any insurance requirement, Tenant shall promptly notify Landlord in writing of such alleged violation and furnish Landlord with a copy of such notice. Subtenant shall observe and comply with, and shall cause its employees, agents and invitees to observe and comply with the restrictions set forth in this Sublease. Subtenant agrees to comply with all rules and regulations that Master Landlord has made or may hereafter from time to time make for the Building and/or the Premises. Sublandlord shall not be liable to Subtenant RCRA or any party claiming through Subtenant other applicable federal, state or local environmental protection laws), except in strict compliance with applicable environmental protection laws. Tenant does hereby indemnify and hold Landlord harmless from and against any way for and all damage caused by the failure to any property, penalties, expenses, claims, losses or liabilities or injury to or death of any person as a result of Tenant's violation of the other tenants foregoing provision. Except for Hazardous Substances which are used, stored and disposed of in compliance at accordance with the manufacturer’s instructions and all times with all such applicable laws, codes, regulations, orders and ordinances, regulations and requirements. Subtenant Tenant shall observe and comply withnot, nor shall Tenant permit any third party, to use, store, generate, treat, release or dispose at, on or under the Premises, Building or Land, any Hazardous Substance, and any such action shall cause its constitute a default under this Lease. Tenant shall indemnify, defend and hold Landlord, any managing agents and leasing agents of the Building, and their respective agents, partners, officers, directors and employees, agents harmless from all damages, costs, losses, expenses (including, but not limited to, attorneys’ fees, consulting fees and invitees engineers’ fees) arising from or attributable to observe and comply with any breach by Tenant of the restrictions set forth covenants contained in this SubleaseSection 12.3. Except for Tenant’s repair obligations in Article 9 hereof, nothing contained herein shall be interpreted to require Tenant to perform structural or capital work unless required due to Tenant’s specific use of the Premises as opposed to office use in general. Landlord shall be responsible for compliance pursuant to paragraphs (a) and (c) above to the extent such materials are specifically prohibited compliance relates to the Building or the Project (exclusive of the Premises). If Tenant receives notice of any such directive, order citation or of any violation of any law, order, ordinance, regulation or any insurance requirement, Tenant shall promptly notify Landlord in writing of such alleged violation and furnish Landlord with a copy of such notice. 12.3 After completion of the Leasehold Improvements in the Premises, Tenant shall be responsible for causing, at Tenant’s sole cost and expense, the Premises to comply with the Americans With Disabilities Act of 1990, as subsequently amended (the “ADA”), and all similar federal, state and local laws, rules and regulations and subsequent amendments thereof. Notwithstanding anything above to the contrary, Landlord shall be responsible for causing the Building and the initial Leasehold Improvements constructed by Landlord to comply, subject to the terms of this Lease, with all other requirements of the ADA in effect on the Commencement Date and other applicable laws then in effect including, without limitation, any such laws, regulations, ordinances and amendments thereto pertaining to the presence of Hazardous Materials and seismic requirements. Subtenant Further, Operating Costs shall not perform any act or carry on any practice which may injure include the Subleased Premises or cause any offensive odors or noises that constitute a nuisance or menace to any other tenant or tenants of cost (if any) incurred by Landlord in connection with upgrading the Building or the Premises or other persons, and in no event shall any noises or odors be emitted from the Subleased Premises. Nothing shall be done upon or about the Subleased Premises which shall be unlawful, improper, or contrary to any law, ordinance, regulation or requirement of any public authority or insurance inspection or rating bureau or similar organization having jurisdiction and Subtenant shall be in compliance at all times with all such laws, ordinances, regulations and requirements. Subtenant shall observe and comply with, and shall cause its employees, agents and invitees to observe and comply with the restrictions set forth requirements of the ADA and other applicable laws that are in effect as of the Commencement Date of this SubleaseLease, including penalties or damages incurred due to such noncompliance; provided, however that to the extent such costs are incurred as a result of Tenant’s specific use of the Premises (as opposed to being generally applicable to office buildings), or as a result of any alterations to the Premises made by or on behalf of Tenant (excluding the Leasehold Improvements), then, in such case, such costs will be the sole responsibility of Tenant. Subtenant agrees Notwithstanding the foregoing, in the event that Tenant is obligated hereunder to comply with all rules and regulations that Master Landlord has made the ADA or may hereafter from time to time make for the Building and/or any other applicable laws affecting the Premises. Sublandlord shall not be liable to Subtenant , or any party claiming through Subtenant in any way for damage caused by the failure of any of the other tenants of the Building Landlord is obligated to comply with the same at Tenant’s expense, then Tenant shall have the right, upon prior written notice to Landlord and at Tenant’s sole cost and expense, to seek an exemption to such similar obligation as may be available from the governmental authority with jurisdiction over such matters; provided, however, that unless Tenant’s obligation to comply with the ADA or any other covenants applicable law occurs during the last three (3) years of the Lease Term (as extended by any Extension Option exercised by Tenant), Tenant’s right to seek any such exemption shall be subject to Landlord’s determination, in their leases Landlord’s reasonable, good faith opinion, that any such exemption will not subject Landlord to any present or future liability or costs. Landlord shall use commercially reasonable efforts to remedy any problems which may arise with systems and equipment serving the Building as a result of the transition from calendar year 1999 to calendar year 2000 and the expense of such rules and regulationsefforts shall be excluded from Operating Costs. Upon written request from Tenant, Landlord shall provide Tenant with documentation reasonably evidencing Landlord’s compliance with the requirements of this Section 12.3.
