Common use of Use and Disclosure Clause in Contracts

Use and Disclosure. Business Associate agrees not to use or disclose PHI, other than as permitted or required by this Agreement or as Required By Law. To the extent Business Associate is carrying out one or more of Covered Entity's obligations under the Privacy Rule pursuant to the terms of the Underlying Agreement or this Agreement, Business Associate shall comply with the requirements of the Privacy Rule that apply to Covered Entity in the performance of such obligation(s).

Use and Disclosure. Business Associate agrees to not to use or disclose PHI, PHI other than as permitted or required by this Agreement or as Required By Law. To the extent Business Associate is carrying out one or more of Covered Entity's obligations under the Privacy Rule pursuant to the terms of the Underlying Agreement or this Agreement, Business Associate shall comply not at any time access any PHI for any purpose other than those specifically authorized by Covered Entity or Required by Law. Business Associate shall also comply, where applicable, with 45 CFR Part 164 Subpart C with respect to EPHI, and the requirements use and disclosure provisions of the Privacy Rule that apply to Covered Entity in the performance of such obligation(s)Rule.

To necessary to perform the extent Business Associate is carrying out one or more of Covered Entity's obligations under the Privacy Rule pursuant to the terms of Services in accordance with the Underlying Agreement or Agreement, (b) in accordance with Section 2(ii) of this Agreement, or (c) as Required by Law and in accordance with Section 2(iii) of this Agreement. Business Associate shall comply with not use or disclose PHI in any manner that violates HIPAA or any other applicable federal or state laws and regulations relating to the requirements privacy and security of the Privacy Rule that apply to Covered Entity in the performance of such obligation(s)PHI.

Business Associate shall comply also comply, where applicable, with 45 CFR Part 164 Subpart C with respect to EPHI, and the requirements use and disclosure provisions of the Privacy Rule that apply to Covered Entity in the performance of such obligation(s)Rule.
