Use and Disposition. If an event of default occurs, Landlord may use, apply or retain the whole or any part of the Security Deposit to the extent required for the payment of any Basic Rent, Additional Rent or any other sum as to which Tenant is in default or for any sum which Landlord may expend or may be required to expend by reason of Tenant's default in respect of any of the terms, covenants or conditions of this Lease, including but not limited to any damages or deficiency accruing before or after summary proceedings or other re-entry by Landlord. In the event that Tenant shall fully and faithfully comply with all of the terms, covenants and conditions of this Lease, the Security Deposit shall be returned to Tenant without interest within thirty (30) days after the Termination Date and after delivery of possession of the entire Premises to Landlord.
Use and Disposition. Each Party may freely exercise the Joint Patent or other joint IPR for the design, development, manufacture distribution, marketing, manufacture of its own Products. Neither Party may license such Joint Patents or Joint IPR to any third party, without the prior written consent from the other Party (which consent shall not be unreasonably withheld).
Use and Disposition. Each owning Party may exercise IP rights arising from Joint Inventions to make, have made, use, sell, or offer for sale its own products and may license such IP rights without the consent of or accounting to the other owning Party. No owning Party shall sell, pledge as collateral, or otherwise encumber or transfer any IP rights arising from Joint Inventions without the express written consent of the other owning Party. Nothing in this provision will give any Party rights contradictory to the provisions of this License Agreement. This Section will not affect any licensing provision of a Party otherwise provided in this License Agreement. Nothing herein shall change the ownership rights of any of Saifun or Infineon in their respective background Intellectual Property.

Use and Disposition. The Grantor shall not make or permit to be ------------------- made an assignment, grant of a security interest, pledge, hypothecation or other transfer of any of the Collateral (other than pursuant hereto); provided that -------- nothing in this Security Agreement shall restrict or limit the ability of the Grantor, if no Event of Default is continuing, to exercise or sell or dispose of or cause to be redeemed by any person that is a Non-Affiliate of the Grantor, including, without limitation, any discounting at less than face value, any Collateral on terms believed in good faith by the Grantor to be, in the aggregate for all such Collateral so exercised, sold, disposed of or redeemed, considered together, for fair value (the "Sales Proceeds," which in the case of any exercise shall be calculated net of the aggregate exercise price thereof), and the Secured Party shall at the request of the Grantor deliver to such person as the Grantor may designate, in exchange for the Sales Proceeds, all instruments or certificates held by the Secured Party evidencing the Collateral for purposes of any such sale, exercise, disposition or redemption.
Use and Disposition. The Grantee may continue to use the equipment for the activity for which it was acquired as long the equipment is needed. When no longer needed for the original activity, equipment may be used for other ▇▇▇ or U.S. Government- supported activities. If equipment is no longer needed for ▇▇▇ or other U.S. Government-supported activity, the Grantee shall request disposition instructions from ▇▇▇, which will be determined in accordance with 2CFR200.313(e).
Use and Disposition. Equipment shall be used by the subgrantee in the program or project for which it was acquired long as needed, whether or not the program or project continues to be supported by federal funds. When use of the prop for project activities is discontinued, the subgrantee shall request, in writing, disposition instructions from the SFA prior to actual disposition of the property. Theft, destruction, or loss of property shall be reported to the SFA immediately.
