Common use of USE AND OWNERSHIP OF DOCUMENTS AND DATA Clause in Contracts

USE AND OWNERSHIP OF DOCUMENTS AND DATA. 15.1 ANAHEIM shall furnish to CONSULTANT such documents and materials as may be relevant and pertinent to the provision of services hereunder as ANAHEIM may possess or acquire. 15.2 All documents and materials furnished by ANAHEIM to CONSULTANT, Section 15.1, shall remain the property of ANAHEIM and shall be returned to ANAHEIM upon the earlier of the termination of this Agreement, for any reason, or the completion of a Work Order. All documents or material prepared or caused to be prepared by CONSULTANT, its officers, employees, agents and subcontractors, in the course of implementing this Agreement, shall become the exclusive property of ANAHEIM, and ANAHEIM shall have the sole right to use such materials in its discretion without further compensation to CONSULTANT or any other party. CONSULTANT shall, at CONSULTANT’s sole cost and expense, provide such documents and material to ANAHEIM upon prior written request. 15.3 Documents and material prepared by CONSULTANT, pursuant to this Agreement, are not intended or represented to be suitable for reuse by ANAHEIM or others on any other project. Any use of completed documents for other projects and any use of incomplete documents without specific written authorization from CONSULTANT will be at ANAHEIM’s sole risk and without liability to CONSULTANT. Further, any and all liability arising out of changes made to CONSULTANT’s deliverables under this Agreement by ANAHEIM or persons other than CONSULTANT, is waived against CONSULTANT and ANAHEIM assumes full responsibility for such changes unless ANAHEIM has given CONSULTANT prior notice and has received from CONSULTANT written consent for such changes.

Except in the case of the Solution, the Contractor Technology, and the Third Party Platform, a derivative work, improvement or modification thereof, in which case ownership of such shall be with the completion of a Work Order. All Contractor, all documents or material prepared or caused to be prepared by CONSULTANTContractor, its officers, employees, agents and subcontractorssubcontractor, specifically for the Anaheim in the course of implementing this Agreement, shall become the exclusive property of ANAHEIMAnaheim, and ANAHEIM Anaheim shall have the sole right to use such materials in its discretion without further compensation to CONSULTANT Contractor or any other partyParty. CONSULTANT Contractor shall, at CONSULTANTContractor’s sole cost and expense, provide such documents and material materials to ANAHEIM Anaheim upon prior written request. All documents or materials prepared or caused to be prepared by Contractor for general use of its clients (in addition to Anaheim) in the course of performing the Solution, Implementation Services, or Support Services and which are not the copyright of any other Party or publicly available, including educational materials, any Solution, Contractor Technology (including all copies, modifications, and derivative works thereof, by whomever produced), the Third Party Platform and any other computer applications, shall continue to be the property of Contractor or Third Party Provider, as applicable. 15.3 C. Documents and material prepared by CONSULTANTContractor, pursuant to this Agreement, are not intended or represented to be suitable for reuse by ANAHEIM Anaheim or others on any other project. Any use of completed documents for other projects and any use of incomplete documents without specific written authorization from CONSULTANT Contractor will be at ANAHEIMAnaheim’s sole risk and without liability to CONSULTANTContractor. Further, any and all liability arising out of changes made to CONSULTANT’s deliverables the documents and materials under this Agreement by ANAHEIM Anaheim or persons other than CONSULTANTContractor, is waived against CONSULTANT Contractor and ANAHEIM Anaheim assumes full responsibility for such changes unless ANAHEIM Anaheim has given CONSULTANT Contractor prior notice and has received from CONSULTANT Contractor written consent for such changes. D. All Project-related documents will be maintained in electronic versions and hard copies based on Anaheim’s requirements. All final version documents will be clearly marked as the “Final” version. E. All documents, including drafts, preliminary drawings or plans, notes, ideas and communications prepared specifically for the Anaheim that result from the Deliverables provided under this Agreement, shall be kept confidential by Contractor unless Anaheim authorizes, in writing, the release of said information. Notwithstanding the termination of this Agreement, this Section XXII shall survive the expiration or earlier termination of this Agreement.

Consultant shall retain all right, title, and interest in and to all pre-existing (i.e., existing prior to the effective date of this Agreement) methodologies, processes, techniques, ideas, concepts, trade secrets, and know-how (collectively “Consultant Knowledge”) used by the Consultant in the production of the deliverables or the performance of the Services.

USE AND OWNERSHIP OF DOCUMENTS AND DATA. 15.1 16 16.1 ANAHEIM shall furnish to CONSULTANT such documents and 17 materials as may be relevant and pertinent to the provision of services hereunder as ANAHEIM 18 may possess or acquire. 15.2 19 16.2 All documents and materials furnished by ANAHEIM to CONSULTANT, 20 pursuant to Section 15.116.1, shall remain the property of ANAHEIM and shall be returned to 21 ANAHEIM upon the earlier of the termination of this Agreement, for any reason, or the completion of a Work Order. All documents or material 22 prepared or caused to be prepared by CONSULTANT, its officers, employees, agents and 23 subcontractors, in the course of implementing this Agreement, shall become the exclusive 24 property of ANAHEIM, and ANAHEIM shall have the sole right to use such materials in its 25 discretion without further compensation to CONSULTANT or any other party. CONSULTANT 26 shall, at CONSULTANT’s sole cost and expense, provide such documents and material to 27 ANAHEIM upon prior written request. 15.3 28 16.3 Documents and material prepared by CONSULTANT, pursuant to this 1 Agreement, are not intended or represented to be suitable for reuse by ANAHEIM or others on 2 any other project. Further, any and all liability arising out of 5 changes made to CONSULTANT’s deliverables under this Agreement by ANAHEIM or persons 6 other than CONSULTANT, is waived against CONSULTANT and ANAHEIM assumes full 7 responsibility for such changes unless ANAHEIM has given CONSULTANT prior notice and 8 has received from CONSULTANT written consent for such changes.
