Use of Proceeds of the Grant. (a) The Recipient shall lend a portion of the Grant proceeds in the amount of $15,000,000 to DABS under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB. Except as ADB shall otherwise agree, the terms for lending the proceeds of the Grant shall include a term of 32 years, with 8 year grace period, and interest at the rate of 1% per annum during grace period and 1.5% per annum thereafter, with the foreign exchange risk being borne by DABS. (b) The Recipient shall cause the proceeds of the Grant (including the amount referred to under sub-Section [a] above) to be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement. Section 3.02. The proceeds of the Grant shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, the Recipient shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.04. Except as ADB may otherwise agree, the Recipient shall cause all items of expenditure financed out of the proceeds of the Grant to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Grant Account in respect of Goods, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 31 March 2015 or such other date as may from time to time be agreed between the Recipient and ADB.

(d) The Recipient shall make a portion of the proceeds of the Grant equivalent to US$2,220,700 available to NRB for Components 2, 3 and 4 of the Project upon terms and conditions satisfactory to ADB and shall cause NRB to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement and the Project Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, the Recipient shall procureall Goods, or cause to be procured, the items of expenditure Works and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.04. Except as ADB shall otherwise agree, the terms and conditions of the loan to TDF shall include a repayment period of twenty (20) years, including a grace period of five (5) years, and an interest rate not exceeding three per cent (3%) per annum. The Recipient shall apply all amounts repaid by TDF under the Subsidiary Loan Agreement to poverty reduction programs in Nepal. The Recipient shall cause TDF to onlend the loan proceeds under the Subloan Agreements to WUSCs, participating in the Project at an interest rate not exceeding five per cent (5%) per annum, with a repayment period of up to twenty (20) years including a grace period of up to five (5) years. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. (a) The Recipient shall relend a portion of the proceeds of the Grant in the amount of eight million eight hundred thousand Dollars ($8,800,000) equivalent (“Credit Line”) to PFIs under Subsidiary Loan Agreements to be concluded with each PFI upon terms and conditions satisfactory to ADB. Ten percent of the Credit Line will be allocated to each of IMON International and Arvand and the remaining eighty percent of the Credit Line (“Remaining Amount”) will be allocated to PFI(s) selected by the Recipient and acceptable to ADB. If, as at the date that is 12 months after the Effective Date, any portion of the Remaining Amount remains unallocated, such portion will be divided and allocated in equal amounts to PFIs selected as at that date and the Recipient and the PFIs will enter into, or amend, Subsidiary Loan Agreements accordingly. (b) Except as ADB shall otherwise agree, the terms for relending the proceeds of the Grant under each Subsidiary Loan Agreement shall include: (i) a total Subsidiary Loan amount satisfactory to ADB; (ii) denomination in TJS; (iii) a repayment period of 5 years; and (iv) interest at a rate equivalent to the NBT refinancing rate prevailing on the date of the Subsidiary Loan Agreement, such rate to be reset on each annual anniversary of the Subsidiary Loan Agreement during the term of the Subsidiary Loan Agreement to reflect the then prevailing NBT refinancing rate. ADB will enter into Project Agreements with each PFI. (c) The Recipient shall cause the proceeds of the Grant described in subsection (a) above to be applied to the financing of Part B of the Project in accordance with the provisions of this Grant Agreement and each Project Agreement. Except as ADB may otherwise agree, such proceeds shall be used only for making Subloans to Qualified Subborrowers for Qualified Subprojects and shall be applied exclusively to the cost of Goods, Works and Consulting Services required to carry out such Qualified Subprojects. Section 3.023.03. The proceeds of the Grant shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.033.04. One half of each of the Credit Lines will be allocated in equal portions to IMON International and OXUS and the remaining one half of each of the Credit Lines (“Remaining Amount”) will be allocated to PFI(s) selected by the Recipient and acceptable to ADB. If as at 31 December 2016, any portion of the Remaining Amount remains unallocated, such portion will be divided and allocated in equal amounts to PFIs selected as at that date and the Recipient and the PFIs will enter into, or amend, Subsidiary Loan Agreements accordingly. (b) Except as ADB shall otherwise agree, the terms for relending the proceeds of the Grant under each Subsidiary Loan Agreement shall include: (i) a total Subsidiary Loan amount acceptable to ADB; (ii) denomination in TJS; (iii) a repayment period of 5 years; and (iv) interest at a rate equivalent to the NBT refinancing rate prevailing on the date of the Subsidiary Loan Agreement, such rate to be reset on each annual anniversary of the Subsidiary Loan Agreement during the term of the Subsidiary Loan Agreement to reflect the then prevailing NBT refinancing rate. ADB will enter into Project Agreements with each PFI. (c) If there is any change to the composition of the PFIs as described in subsection (a) hereinabove, and/or there is a need to reallocate the proceeds of the Grant for more effective implementation of Part D of the Project, the Recipient shall reallocate the Grant proceeds among the PFIs in a manner acceptable to ADB. (d) The Recipient shall cause the proceeds of the Grant described in subsection (a) above to be applied to the financing of Part D of the Project in accordance with the provisions of this Grant Agreement and the applicable Project Agreements. Except as ADB may otherwise agree, such proceeds shall be used only for making Subloans to Eligible Subborrowers for Eligible Subborrower Subprojects and shall be applied exclusively to the cost of Goods, Works and Consulting Services required to carry out such Eligible Subborrower Subprojects. Section 3.033.04. Except as ADB may otherwise agree, the Recipient shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant in accordance with the provisions of Schedule 3 to this Grant Agreement. (b) The Recipient shall cause the MEA to apply such proceeds of the Grant (including the amount referred to under sub-Section [a] above) to be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement. Section 3.02(a) The Recipient shall enter into a loan agreement with BDFC, providing inter alia for the lending of the proceeds of the Grant to BDFC to carry out Part A of the Project, a term of 20 years including a grace period of 5 years, and the rights of the Recipient and ADB with respect thereto. Such BDFC Loan Agreement shall be in form and on terms and conditions acceptable to ADB, and shall be without prejudice to, and without limitation on, the obligations of the Recipient under this Grant Agreement. (b) The proceeds of the Grant Xxxxx xxxx to BDFC shall carry an interest rate equivalent to weighted average deposit rate published by RMA from time to time and prevailing on the date of withdrawal. Withdrawals from the Grant Account in respect of Goods, Works Works, and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works Works, and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 31 March 2015 30 June 2012 or such other date as may from time to time be agreed between the Recipient and ADB.
