Use of Short Form Prospectus. GCM meets the general eligibility requirements for use of a short form prospectus under National Instrument 44-101 – Short Form Prospectus Distributions of the Canadian Securities Administrators. (nn) Arrangements with Shareholders. Other than the Aris Voting Agreements, the Investor Agreement and this Agreement, GCM does not have any agreement, arrangement or understanding (whether written or oral) with respect to Aris or any of its securities, businesses or operations with any shareholder of Aris, any interested party of Aris or any related party of any interested party of Aris, or any joint actor with any such persons (and for this purpose, the terms “interested party”, “related party” and “joint actor” shall have the meaning ascribed to such terms in MI 61-101).
