Use of Subprocessors. 1. Either Party may, and has general consent from the other Party to, use Subprocessors, Parties may appoint and use Subprocessors to Process the Personal Data in connection with the Agreement provided that, in each case, it has in place a contract in writing with each Subprocessor that is relevant to the services to be provided by the Subprocessors and under which the Subprocessor (i) provides sufficient guarantees to implement appropriate technical and organisational measures, and (ii) abides by terms materially similar to the rights and/or obligations imposed on Dell under this Schedule. Subprocessors may include third parties or any Affiliate of a Party. Where a Subprocessor fails to fulfil its data protection obligations as specified above, the relevant Processor having engaged that Subprocessor shall be liable to the other Party for the performance of the Subprocessors’ obligations.

Use of Subprocessors. Customer consents to Publisher using the subprocessors listed at the applicable Publisher URL or as otherwise communicated to Customer. Publisher remains responsible for its subprocessors’ compliance with the obligations herein. Publisher may update its list of subprocessors from time to time, by providing Customer at least 14-days notice before providing any new subprocessor with access to Personal Data. If Customer does not approve of any such changes, Customer may terminate any subscription for the affected Offering without penalty by providing, prior to expiration of the notice period, written notice of termination that includes an explanation of the grounds for non-approval.
Use of Subprocessors. Customer agrees that Workday and Workday Affiliates may engage Subprocessors. Workday or the relevant Workday Affiliate engaging a Subprocessor shall ensure that such Subprocessor has entered into a written agreement that is no less protective than this DPE. Workday shall be liable for the acts and omissions of any Subprocessors to the same extent as if the acts or omissions were performed by Workday.
Use of Subprocessors. Customer hereby agrees and gives its general authorization for Webflow, when acting as a Processor, to engage new Subprocessors in connection with the processing of Customer Personal Information. A list of Webflow’s current Subprocessors is located at xxxxxxx.xxx/xxxxx/xxxxxxxxxxxxx. Customer must sign up at the aforementioned URL to receive email notifications concerning the addition of new Subprocessors. Customer may reasonably object to the addition of any new Subprocessor within fifteen (15) calendar days of receiving such email notification, in which case Webflow will use reasonable efforts to make a change in the Service or recommend a commercially reasonable change to avoid processing by such Subprocessor. If Webflow is unable to provide an alternative, Customer may terminate the Service and shall pay Webflow any fees or expenses not yet paid for all services provided pursuant to any Agreement. If Customer fails to sign up for these email notifications, Customer shall be deemed to have waived its right to object to the newly added Subprocessor(s).
Use of Subprocessors. Where Processing is to be carried out by Subprocessors on behalf of Service Provider and with respect to the Services, the following rules shall apply: (a) Service Provider shall use only Subprocessors providing sufficient guarantees to implement appropriate technical and organizational measures so that the Processing meets the requirements of this GDPR Addendum. (b) Service Provider shall impose on each Subprocessor the same data protection obligations and standards that are imposed on Service Provider in this GDPR Addendum through a written contract or other legal act, including the obligations regarding the legality of crossborder data transfers. (c) The Subprocessors currently engaged by Service Provider are listed on xxxxx://xxxxxxxxxxx.xxx/legal/subprocessors. (d) Service Provider may, on no less than thirty (30) days written notice to Customer, make changes to the Subprocessors list. Customer may object to the appointment of a new Subprocessor or the addition of roles or responsibilities for an existing Subprocessor in writing, within fourteen (14) days of such notice, on reasonable grounds relating to the protection of Personal Data under this GDPR Addendum. If, within thirty (30) days of Customer’s written objection, the parties have not resolved the objection to their mutual satisfaction, either party may terminate the Agreement, and Customer will be entitled to a pro-rata refund of prepaid fees for the Services not performed as of the date of termination, if any. (e) If Service Provider is required to replace a Subprocessor on an emergency basis, due to reasons outside Service Provider’s control, Service Provider shall notify Customer as soon as reasonably practicable, and Customer shall retain the right to object to that Subprocessor pursuant to the section immediately above.
Use of Subprocessors. The Controller agrees that the Processor may involve third parties ("Subprocessors") for the performance of the contractually agreed services and the processing of data in connection therewith, provided that the requirements of the following paragraphs are guaranteed. For the purposes of this provision, subprocessing relationships are to be understood as those services that directly relate to the performing of the main service. This does not include auxiliary services that the Processor uses, e.g. telecommunications services, postal or transport services, maintenance and user services or the disposal of data carriers or other measures for ensuring the confidentiality, availability, integrity and resilience of the hardware and software of data processing systems. However, the Processor is obliged to make appropriate and legally compliant contractual agreements and to take control measures to ensure the protection and security of the Controller's personal data, even in the case of auxiliary services being outsourced. Subprocessors permitted at the time of conclusion of this Agreement. The Processor is permitted to use the Subprocessors listed in Attachment 1.
Use of Subprocessors. 6.1 PTV may use subprocessors in the processing of the data, which are published at the time of the conclusion of this agreement at xxxxx://xxx.xxxxxxxx.xxx/fileadmin/user_upload/Legal_Documents/Subprocesso rs.pdf (in particular PTV Planung Transport Verkehr GmbH, Karlsruhe/Germany, insofar as this is not already the direct contractual partner of the Customer), as well as other subprocessors, if the Customer has expressly consented to this in advance or if PTV informs the Customer before they are used or replaced and the Customer does not object in accordance with this Clause 6.1. The notification shall be made at least 14 calendar days in advance directly to the Customer and by publication on xxxxx://xxx.xxxxxxxx.xxx/fileadmin/user_upload/Legal_Documents/Subprocesso rs.pdf. Under this link the Customer will always find the current and the announced future subprocessors. The Customer may object to the change within a period of 14 calendar days (calculated from notification/publication), otherwise consent shall be deemed granted. In the event of an objection, PTV may change/restrict the Service for the Customer in such a way that the objected subprocessor does not process the Customer's data, insofar as the change/restriction is reasonable for the Customer. If this should not be possible for PTV within 30 calendar days upon receipt of the objection, the Customer may terminate the affected Service immediately, in which case PTV shall refund any amounts already paid for the otherwise remaining contract term on a pro rata basis as of the termination date. Further claims of the Customer are subject to the contractual/legal regulations and are excluded in any case unless the Customer asserts an important reason as defined by law for the objection. 6.2 PTV shall be liable for the actions and conduct of the subprocessors and shall carefully select them. PTV shall enter into agreements with the subprocessor to the extent required by law in order to transfer the data protection obligations under this contractual document to the subprocessor and to ensure required data protection and information security measures and shall provide evidence of this to the Customer upon request.

Use of Subprocessors. LLA grants Supplier general authorization to engage Subprocessors if Supplier and those Subprocessors enter into an agreement that requires the Subprocessor to meet obligations that are no less protective than this DPA (including any applicable International Data Transfer Mechanism) and include at least the following elements: the Subprocessors are prohibited from (1) processing Personal Data for any purpose other than carrying out Supplier’s obligations under this Agreement, (2) accessing, retaining, using, or disclosing Personal Data for any purpose other than for the specific business purpose of performing LLA’s documented instructions for the business purposes defined in this Agreement, including accessing, retaining, using, or disclosing the Personal Data for a commercial purpose other than performing LLA’s instructions; or (3) accessing, retaining, using, or disclosing the Personal Data outside of the direct business relationship between the parties as defined in this Agreement.

Customer agrees that Dell may appoint and use Subprocessors to process the Personal Data in connection with the Services provided that Dell puts in place a contract in writing with each Subprocessor that imposes obligations that are: (i) relevant to the services to be provided by the Subprocessors and (ii) materially similar to the rights and/or obligations imposed on Dell under this DPA. Subprocessors may include third parties or any member of the Dell group of companies. Where a Subprocessor fails to fulfil its data protection obligations as specified above, Dell shall be liable to the Customer for the performance of the Subprocessors’ obligations.
