Common use of Use of Uber Branded Materials Clause in Contracts

Use of Uber Branded Materials. (a) Except to the extent necessary to comply with applicable law, you are not required to use, wear or display Uber’s name or logo on your vehicle or clothing, or to use signaling lights, stickers, decals, or other such materials displaying Uber’s name or logo (collectively “Uber Branded Materials”). (b) Your authorized display of Uber Branded Materials may signify to Delivery Recipients and Merchants that your delivery services are facilitated by our Platform. Uber grants you a limited license to use, wear, or display Uber Branded Materials provided directly to you by Uber (“Authorized Uber Branded Materials”) when providing Deliveries solely for the purpose of identifying yourself and your vehicle to Delivery Recipients and Merchants as someone selling delivery services facilitated by our Platform. You agree not to (i) use, wear, or display Uber-Branded Materials that are not Authorized Uber Branded Materials(ii) purchase, accept, offer to sell, sell or otherwise transfer Uber Branded Materials that are not Authorized Uber Branded Materials or (iii) offer to sell or sell, or otherwise transfer Authorized Uber Branded Materials, without our prior written permission. (c) The parties expressly agree that your access to, or use of, Uber Branded Materials, whether or not authorized, does not indicate an employment or other similar relationship between you and us. You further agree not to represent yourself as our employee, representative or agent for any purpose or otherwise misrepresent your relationship with us.

You agree not to (i) use, wear, or display Uber-Branded Materials that are not Authorized Uber Branded Materials(iiMaterials; (ii) purchase, accept, offer to sell, sell or otherwise transfer Uber Branded Materials that are not Authorized Uber Branded Materials or Materials; (iii) offer to sell or sell, or otherwise transfer Authorized Uber Branded Materials, without our prior written permission; or (iv) display Uber Branded Materials when you are not accessing the Platform. (c) The parties expressly agree that your access to, or use of, Uber Branded Materials, whether or not authorized, does not indicate an employment or other similar relationship between you and us. You further agree not to represent yourself as our employee, representative or agent for any purpose or otherwise misrepresent your relationship with usstatus as an independent business enterprise. (d) You agree to destroy and discard any Uber Branded Materials if your account is deactivated and/or if you lose access to the Platform.

You agree not to (i) use, wear, or display Uber-Branded Materials that are not Authorized Uber Branded Materials(iiMaterials (ii) purchase, accept, offer to sell, sell or otherwise transfer Uber Branded Materials that are not Authorized Uber Branded Materials or (iii) offer to sell or sell, or otherwise transfer Authorized Uber Branded Materials, without our Uber’s prior written permission. (c) The parties expressly agree that your access to, or use of, Uber Branded Materials, whether or not authorized, does not indicate an employment or other similar relationship between you and us. You further agree not to represent yourself as our employee, representative or agent for any purpose or otherwise misrepresent your relationship with us.

You agree not to (i) use, wear, or display Uber-Branded Materials that are not Authorized Uber Branded Materials(iiMaterials, (ii) purchase, accept, offer to sell, sell or otherwise transfer Uber Branded Materials that are not Authorized Uber Branded Materials or (iii) offer to sell or sell, or otherwise transfer Authorized Uber Branded Materials, without our prior written permission. (c) The parties expressly agree that your access to, or use of, Uber Branded Materials, whether or not authorized, does not indicate an employment or other similar relationship between you and us. You further agree not to represent yourself as our employee, representative or agent for any purpose or otherwise misrepresent your relationship with us. (d) You agree to destroy and discard any Uber Branded Materials if your account is deactivated and/or if you lose access to the Platform.

You agree not to (i) use, wear, or display Uber-Branded Materials that are not Authorized Uber Branded Materials(iiMaterials, (ii) purchase, accept, offer to sell, sell or otherwise transfer Uber Branded Materials that are not Authorized Uber Branded Materials Materials, or (iii) offer to sell or sell, or otherwise transfer Authorized Uber Branded Materials, without our prior written permission. (c) The parties expressly agree that your access to, or use of, Uber Branded Materials, whether or not authorized, does not indicate an employment or other similar relationship between you and us. You agree not to (i) use, wear, or display Uber-Branded Materials that are not Authorized Uber Branded Materials(iiMaterials (ii) purchase, accept, offer to sell, sell or otherwise transfer Uber Branded Materials that are not Authorized Uber Branded Materials or (iii) offer to sell or sell, or otherwise transfer Authorized Uber Branded Materials, without our Uber’s prior written permission, or (iv) display Uber Branded Materials when you are not accessing the Platform. (c) The parties expressly agree that your access to, or use of, Uber Branded Materials, whether or not authorized, does not indicate an employment or other similar relationship between you and us. You further agree not to represent yourself as our employee, representative or agent for any purpose or otherwise misrepresent your relationship with us. (d) You agree to destroy and discard any Uber Branded Materials if your account is deactivated and/or if you lose access to the Platform.

Use of Uber Branded Materials. (a) Except to the extent necessary to comply with applicable lawApplicable Law, you are not required to use, wear wear, or display Uber’s name Uber Names, Marks, or logo Works on your vehicle or clothing, or to use signaling signalling lights, stickers, decals, or other such materials displaying Uber’s name Uber Names, Marks or logo Works (collectively collectively, “Uber Branded Materials”). (b) Despite subsection 8.4(a), if required by Applicable Law, you will at all necessary times display on your Vehicle a decal or sticker in the form and manner mandated by the local ridesharing authority (sometimes referred to as ‘trade dress’), which may include an Uber Name, Mark, or Work, but only if this is required by Applicable Law. (c) Your authorized display of Uber Branded Materials may signify to Delivery Recipients and Merchants Riders that your delivery services are Transportation Service is facilitated by our the Uber Rides Platform. Uber grants you a limited license to use, wear, or display Uber Branded Materials provided directly to you by Uber or by a third-party expressly licensed by UTI or its Affiliate to provide such materials (“Authorized Uber Branded Materials”) when providing Deliveries Transportation Services, solely for the purpose of identifying yourself and your vehicle to Delivery Recipients and Merchants Riders as someone selling delivery services facilitated by our providing Transportation Services arranged using the Uber Rides Platform. You agree to not to (i) use, wear, or display Uber-Uber Branded Materials that are not Authorized Uber Branded Materials(iiMaterials, (ii) purchase, accept, offer offer to sell, sell sell, or otherwise transfer Uber Branded Materials that are not Authorized Uber Branded Materials Materials, or (iii) offer offer to sell or sell, or otherwise transfer Authorized Uber Branded Materials, without our Uber’s, UTI’s, or their Affiliate’s prior written permission. (cd) The parties expressly agree that your access to, or use of, Uber Branded Materials, whether or not authorized, does not indicate an employment or other similar relationship between you and us. You further agree not to represent yourself as our employeeUber, representative UTI, or agent for any purpose or otherwise misrepresent your relationship with ustheir Affiliates.
