Common use of UTVG CLOSING CERTIFICATES Clause in Contracts

UTVG CLOSING CERTIFICATES. The Shareholders shall have received the following documents: (a) copies of resolutions of UTVG, certified by a Secretary, Assistant Secretary or other appropriate officer of UTVG, authorizing the execution, delivery and performance of the Transactional Agreements and the Exchange; (b) good standing certificates for the State of Nevada; and (c) such other documents as TGD may request in good faith for the purpose of (i) evidencing the accuracy of any representation or warranty made by UTVG, (ii) evidencing the compliance by UTVG with, or the performance by UTVG of, any covenant or obligation set forth in this Agreement or any of the other Transactional Agreements, (iii) evidencing the satisfaction of any condition set forth in Article VI or this Article VII, or (iv) otherwise facilitating the consummation or performance of the Exchange.
