Valid and Binding Indenture. The Indenture Trustee has duly executed and delivered this Indenture, the Series Supplement, each other Basic Document and each Related Document to which it is a party, and each of this Indenture, the Series Supplement, each other Basic Document and each other Related Document constitutes the legal, valid and binding obligation of the Indenture Trustee enforceable against the Indenture Trustee in accordance with its terms, except as (i) such enforceability may be limited by bankruptcy, insolvency, reorganization and similar laws relating to or affecting the enforcement of creditors' rights generally and (ii) the availability of equitable remedies may be limited by equitable principles of general applicability.
