Valid Issuance of Merger Co Shares. When issued in accordance with the terms of this Agreement, the Merger Co Shares will be duly authorized, validly issued and outstanding, fully paid and nonassessable and free and clear of all liens, except (i) as set forth in the governing documents of Merger Co and (ii) restrictions on transfer under federal, state and/or foreign securities laws.

No interest will be paid or accrued for the benefit of holders of the Certificates or Book-Entry Shares on the Merger Consideration payable upon the surrender of the Certificates or Book-Entry Shares.

  • Adjustment of Merger Consideration If, subsequent to the date of this Agreement but prior to the Effective Time, the outstanding shares of Common Stock shall have been changed into a different number of shares or a different class as a result of a stock split, reverse stock split, stock dividend, subdivision, reclassification, split, combination, exchange, recapitalization or other similar transaction, the Merger Consideration shall be appropriately adjusted.
