Valid Issuance of Preferred and Ordinary Shares. The Shares being purchased by the Investors hereunder, when issued, sold and delivered in accordance with the terms of this Agreement for the consideration expressed herein, will be duly and validly issued, fully paid, and nonassessable, and will be free of restrictions on transfer other than restrictions on transfer under this Agreement and the Ancillary Agreements and under applicable securities laws. The Conversion Shares have been duly and validly reserved for issuance and, upon issuance in accordance with the terms of the Amended Memorandum, will be duly and validly issued, fully paid, and nonassessable and will be free of restrictions on transfer other than restrictions on transfer under this Agreement and the Ancillary Agreements and under applicable securities laws.

The register of members of the Company is prima facie evidence that the Series A Preferred Shares set forth on such register of members as owned by Chaview are legally owned by Chaview. The Ordinary Shares issuable upon conversion of the Series A Preferred Shares have been duly and validly reserved for issuance and, upon issuance and upon conversion the Series A Preferred Shares in accordance with the terms of the Articles of Association, will be duly and validly issued, fully paid and nonassessable, free and clear of all Encumbrances and free of restrictions or limitations on transfer other than restrictions on transfer under applicable Laws and those set out in the Articles of Association and Amended and Restated Shareholders Agreement.
