Common use of Valid Issuance of Shares Clause in Contracts

Valid Issuance of Shares. The Warrant Shares, when issued, sold and delivered in accordance with the terms of this Warrant, will be duly and validly issued, fully paid and nonassessable. Based in part upon representations by the Holder, the Warrant Shares issued upon exercise or conversion of this Warrant will be issued in compliance with all applicable federal and state securities laws.
