Valid Issuance of Subscribed Shares. (a) The Subscribed Shares, when issued and subscribed in accordance with the terms of this Agreement, will be duly and validly issued, fully paid and non-assessable. (b) The outstanding capital shares of the Company are duly and validly issued, fully paid and non-assessable, and all outstanding shares, options, warrants and other securities of the Company have been issued in full compliance with the requirements of all applicable securities laws and regulations.
