Common use of Valid Transfer Clause in Contracts

Valid Transfer. This Agreement constitutes a valid transfer to the Buyer of all right, title and interest of the Intermediate Seller in, to and under all of the Collateral transferred by the Intermediate Seller to the Buyer on or after the Closing Date, free and clear of any Lien of any Person claiming through or under the Intermediate Seller or any of its Affiliates, except for Permitted Liens.

Valid Transfer. This Agreement constitutes a valid transfer to the Buyer of all right, title and interest of the Intermediate Closing Date Seller in, to and under all of the Collateral transferred by the Intermediate Closing Date Seller to the Buyer on or after the Closing Date, free and clear of any Lien of any Person claiming through or under the Intermediate Closing Date Seller or any of its Affiliates, except for Permitted Liens.

Valid Transfer. This Agreement constitutes a valid transfer by the Seller to the Buyer Purchaser of all of the Seller's right, title and interest of in the Intermediate Seller in, to Receivables and under all of the Collateral transferred by the Intermediate Seller to the Buyer on or after the Closing Date, free and clear of any Lien of any Person claiming through or under the Intermediate Seller or any of its Affiliates, except for Permitted Liensother Trust Property.

Valid Transfer. This Agreement constitutes a valid sale, transfer and assignment to the Buyer Trust of all right, title and interest of the Intermediate Seller in, to in the Receivables and under the proceeds thereof and all of the Collateral transferred by the Intermediate Seller Seller's rights, remedies, powers and privileges with respect to the Buyer on or after Receivables under the Closing DateReceivables Purchase Agreements. Except as otherwise provided in this Agreement, free and clear of any Lien of neither the Seller nor any Person claiming through or under the Intermediate Seller has any claim to or any of its Affiliates, except for Permitted Liensinterest in the Trust Assets.
