Validity and Enforceability of Security Documents. The Security Documents, upon their execution and delivery by the Issuers and the Guarantors (to the extent each is a party thereto), will create a legally valid, enforceable and continuing security interest in the Collateral under each jurisdiction of organization in favor of the Collateral Agent for the benefit of the Trustee and the holders of the Notes, among others, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar laws of general applicability relating to or affecting creditors’ rights and to general equity principles.
