Common use of Validity and Severability Clause in Contracts

Validity and Severability. If any provision of this Agreement is held to be invalid, such event shall not affect, in any respect whatsoever, the validity of the remainder of this Agreement and the remainder shall be construed without the invalid provision so as to carry out the intent of the parties to the extent possible without the invalid provision.

Validity and Severability. If In the event any provision part of this Agreement Agreement, for any reason, is held ruled or determined to be invalid, such event determination shall not affect, in any respect whatsoever, affect the validity of any remaining portion of this Agreement, which remaining portion shall remain in complete force and effect as if this Agreement had been executed with the remainder invalid portion of the Agreement eliminated.
