Common use of Validity Contest Clause in Contracts

Validity Contest. The Company shall promptly pay any and all legal fees and expenses incurred by the Executive from time to time as a direct result of the Company’s contesting the due execution, authorization, validity or enforceability of this Agreement. Executive shall have no obligation to mitigate damages suffered as a result of termination of his employment with the Company. The provisions of this Section 7.10 shall survive termination of this Agreement. Reimbursement of such expenses shall be made promptly and in no event later than December 31 of the year following the year in which such expenses were incurred, and the amount of such expenses eligible for reimbursement in any year shall not affect the amount of such expenses eligible for reimbursement in any other year.
