Validity, Enforceability and Existence. To the knowledge of Seller (and excluding patent prosecution communications from the United States Patent and Trademark Office, or foreign counterparts): (a) the Seller IP Rights (other than patent applications or items of similar nature) are valid and enforceable; and (b) Seller has not received any written third party assertions, or verbal or written third party threats of legal action, to the contrary.
