Common use of Validity of Station Licenses Clause in Contracts

Validity of Station Licenses. On the Closing Date, Seller shall be the owner and holder of the Station Licenses to the extent that such authorizations can be owned or held by Seller under the Communications Act of 1934, as amended; the Station Licenses shall be in unconditional full force and effect, valid for the balance of the current license term applicable generally to radio stations licensed to communities in the state where the Stations are located; and so far as Seller has any knowledge, the Station Licenses shall be unimpaired by any acts or omissions of Seller or Seller's employees, agents, officers, directors or shareholders.
