VALUATION OF ASSETS AND LIABILITIES. The value of the Selling Fund’s net assets shall be the value of all the Selling Fund’s assets as of the close of regular trading on the New York Stock Exchange (“NYSE”) on the Closing Date (such time and date being hereinafter called the “Valuation Date”) after the declaration and payment of any dividends and/or other distributions on that date, less the amount of all the Selling Fund’s liabilities. The value of the Selling Fund’s assets and liabilities shall be determined by using the valuation procedures set forth in the Selling Trust’s Certificate of Trust, Declaration of Trust, and Bylaws (the “Selling Trust Governing Documents”), the Selling Trust’s Pricing and Valuation Committee Procedures and the Selling Fund’s then-current prospectus and statement of additional information.
