Value-Added Business. The products assembled and sold by or on behalf of Seller under Seller's value-added business (i) are first quality merchandise, useable and saleable in the ordinary course of business within a period of not more than twelve (12) months, (ii) were assembled in conformity in all material respects with applicable specifications and quality control standards and in conformity with all applicable laws, rules and regulations and (iii) are not obsolete, damaged, defective or shopworn. For purposes of this Agreement, "knowledge" of Seller shall mean and be limited to the actual knowledge of any director of Seller or ▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇, ▇.▇. ▇▇▇▇▇ or ▇▇▇▇▇ ▇▇▇▇▇▇▇, in each case, at the date hereof.
