VALUE ADDED RESELLER. Quicktest acknowledges that it is a Value Added Reseller (VAR), and that it shall sell Products utilizing the Patent for incorporation into systems which Quicktest: (a) re-markets to unaffiliated third party users in the regular course of business, and/or (b) for uses in providing services to such third parties.
VALUE ADDED RESELLER. 15 ARTICLE
VALUE ADDED RESELLER. This Agreement is based on the Reseller’s representation of itself as a “value added reseller” (VAR). Reseller has significant additional hardware, software or integration services that will be offered along with the MobileDemand Products to the end-user consumer. Reseller agrees that the MobileDemand Products ordered will be used by Reseller as an integral part of its system or systems for demonstration purposes or for resale, lease, and sublicense to end-user customers. Reseller shall not remove, de-face, cover up or alter in any fashion or manner any MobileDemand Product markings, or trademark, copyright or patent notices on the Product or in any advertising or marketing of the Product. Reseller agrees to purchase such Products only directly from MobileDemand or its authorized Distributors, if any.
VALUE ADDED RESELLER. Comtor shall only sell to a value added reseller ("VAR") of Cisco equipment. For the purposes of this Agreement a VAR shall be an entity which is: 1) A reseller who provides onsite installation and integration services to the end user customer; 2) A reseller who provides pre- and post-sales support; and 3) A reseller who employs Cisco-trained personnel to provide services in (1) and (2); or 4) A reseller who provides significant value to the end user, this does not include financing services provided to the end user customer. Cisco reserves the right to debit Comstor's account for an additional 25% of the original invoice price ("Uplift") for any sales to an entity that is not a VAR. If an entity is sold to whom is not a VAR then Cisco will notify Comstor, and inform Comstor of the entities non-VAR status. After Comstor has received notification, any future sales to the entity will result in Cisco debiting the uplift to Comstor's account. In the event of a dispute over the determination of a reseller's VAR status, then Cisco's determination prevails.
VALUE ADDED RESELLER. ThirdAge shall have the option to license up to five (5) additional ICE licenses for the lower of $250,000 or 50% percent of the amount AIE would charge a retain (i.e. single-user) purchaser. Payment for such ICE licenses shall be paid to AIE: (a) Thirty Thousand Dollars ($30,000) on execution of the license by assignee; (b) Twenty Thousand Dollars ($20,000) upon the installation by AIE of the ICE and commencement of operation as a revenue producing Internet casino; and (c) an additional Two Hundred Thousand Dollars ($200,000) thereafter to be received from a three (3%) participation in gross revenue in such Internet casino using ICE (such payment amount not to exceed Ten Thousand Dollars per month) until such time as AIE has received a total of Two Hundred and Fifty Thousand Dollars ($250,000). Thereafter no further licensing fee, or revenue participation of any type, shall be due for such license. And, so long as any assignee of ThirdAge is current in their Fee payments: (i) they shall receive any and all AIE upgrades; and (ii) in no instance shall their license be terminated.
VALUE ADDED RESELLER. Refers to Connection’s certification to bundle Third-Party Products, Software, and Services; as an authorized or licensed reseller of Original Equipment Manufacturer (“OEM”) or publisher’s software, hardware, and services. Eligible Organizations may request proof of certification with any Order.
