Common use of Value of Member’s Interest Clause in Contracts

Value of Member’s Interest. The value of each Member's Interest will be evaluated on an annual basis or upon the majority of the Members deciding to determine such values. This is mainly for the purchase price of a decedent Member's interest after the death of such Member; provided, however, that if the valuation is more than two years before the death of the deceased Member, the provisions of Section 8.5.2 will apply in determining the value of the Member's Interest in the Company.
