Vendor Transition Support Sample Clauses

The Vendor Transition Support clause requires the vendor to assist the client in transitioning services to a new provider or bringing them in-house at the end or termination of the contract. This support may include providing necessary documentation, transferring data, training client personnel, or cooperating with the incoming vendor to ensure a smooth handover. The core function of this clause is to minimize disruption to the client’s operations and ensure continuity of service during the transition period.
Vendor Transition Support. Supplier shall provide market support and otherwise assist TFM in transitioning from its current products supply vendor(s) by providing TFM with a credit on its first Retailer Statement (as defined below in Section 8) issued after the Transition Beginning Date in the amount of [***] (the “Transition Support”). The Transition Support shall be documented as a separate line item on such first Retailer Statement. In addition to the Transition Support, subject to and in accordance with the provisions set forth in Exhibit C attached hereto and made a part hereof, Supplier will purchase all “Transferred Merchandise” (as defined in Exhibit C) located in the TFM Current Supplier Facilities (as defined in Exhibit C) on a date mutually agreed to by the parties. The costs of disposing of the Unsaleable Inventory (as defined in Exhibit C) will be paid by TFM. The costs of transporting the Transferred Merchandise to the Supplier Facilities, including without limitation all freight and fuel costs, will be paid by Supplier.
Vendor Transition Support. The following sentence is hereby added after the third sentence of Section 1(d) of the Supply Agreement, as revised by the First Amendment: “If this Agreement is terminated prior to June 30, 2022 for any reason other than by reason of TFM’s exercise of its right to terminate the Agreement under Sections IV(f), VII(b)(iii) and/or under Section I(c) due to an uncured material default by Supplier, TFM shall pay to Supplier (in addition to any other amount which may be due), the then remaining (calculated as of the final day of the Agreement, including the Wind-Down Period if applicable) unamortized portion of the Transition Support (with the Transition Support amortizing at a rate of [***] per day beginning July 1, 2017).”
Vendor Transition Support. The first two sentences of Section 1(d) of the Supply Agreement are hereby deleted and replaced with the following: “Supplier shall provide market support and otherwise assist TFM in transitioning from its current products supply vendor(s) by providing TFM with transition support payments totaling [***] (“Transition Support”)”. Supplier shall pay to TFM by means of a credit on the Retailer Statement [***] of the Transition Support (i.e., [***]) on or before March 13, 2017. Supplier shall pay to TFM by means of a credit on the Retailer Statement the remaining Transition Support amount on or before the [***] day following the mutually agreed upon final actual completion date.
