Vendor’s and Wave Wireless’ Representations and Warranties. The Vendor’s representations and warranties contained in this Agreement and in any certificate or document delivered under this Agreement or in connection with the transactions contemplated by this Agreement will be true at and as of closing as if such representations and warranties were made at and as of such time.
Vendor’s and Wave Wireless’ Representations and Warranties. In order to induce the Purchaser to enter into and consummate this Agreement, the Vendor and Wave Wireless jointly and severally represent and warrant to the Purchaser as follows and acknowledge that notwithstanding any independent searches or investigations that may be undertaken by or on behalf of the Purchaser, except as otherwise disclosed in any document provided to the Purchaser , the Purchaser is relying upon the accuracy of each of such representations and warranties in connection with its purchase of the Acquired Shares and completion of the other transactions contemplated hereunder:
