Common use of Vendor’s Conditions Clause in Contracts

Vendor’s Conditions. The obligation of the Vendor to complete the sale of the Assets contemplated herein, is subject to the fulfilment on or before the Time of Closing of the following conditions precedent, unless waived in writing by the Purchaser.

Vendor’s Conditions. The obligation of the Vendor to complete the sale of the Assets Purchased Shares contemplated herein, is subject to the fulfilment on or before the Time of Closing fulfillment of the following conditions precedent, unless waived in writing by the PurchaserVendor, and the Purchaser shall use its best efforts to ensure that these conditions are fulfilled on or before the Closing Date.
