Common use of Ventures Clause in Contracts

Ventures. If, during the term of this Agreement, the Executive is engaged in or associated with the planning or implementing of any project, program or venture involving the Company or any of its Affiliates and a third party or parties, all rights in the project, program or venture, to the extent that such rights may be claimed by the Executive or the Company or any of its Affiliates, shall belong to the Company or its Affiliates, as the case may be. Except as approved by the Company's Board of Directors, the Executive shall not be entitled to any interest in such project, program or venture or to any commission, finder's fee or other compensation in connection therewith other than the compensation to be paid to the Executive as provided in this Agreement.

Ventures. If, during the term of this Agreement, the Executive is engaged in or associated with the planning or implementing of any project, program program, or venture involving the Company or any of its Affiliates and a and/or any third party or parties, all rights rights, including without limitation intellectual property rights, in the such project, program program, or venture, to the extent that such rights may could be claimed by the Executive or the Company or any of its Affiliates, shall will belong to the Company or its Affiliates, as the case may be. Except as approved by the Company's Board of Directors, the Executive shall will not be entitled to any interest in such project, program program, or venture or to any commission, finder's fee ’s fee, or other compensation in connection therewith other than the compensation to be paid to the Executive as provided in this Agreement.

Ventures. If, during the term of this AgreementTerm, the Executive is engaged in or associated with the planning or implementing of any project, program or venture involving the Company or any of its Affiliates and a third party or parties, or Executive receives from any third party or parties any opportunity to participate in any project, program or venture relating directly to the business of the Company, all rights in the project, program or venture, to the extent that such rights may be claimed by the Executive or the Company or any of its Affiliates, venture shall belong to the Company or its Affiliates, as and shall constitute a corporate opportunity belonging exclusively to the case may beCompany. Except as approved by the Company's Board of DirectorsBoard, the Executive shall not be entitled to any interest in such project, program or venture or to any commission, finder's fee or other compensation in connection therewith other than the compensation Base Salary to be paid to the Executive as provided in this Agreement.
