Common use of Venue for Dispute Resolution Clause in Contracts

Venue for Dispute Resolution. Except as set forth in Section 11.3(d) of this Agreement, any claim or other controversy, claim or dispute, whether based on contract, tort, statute or any other legal or equitable theory, arising out of or relating to this Agreement or the transactions contemplated hereby (“Dispute”) shall be settled by arbitration located in the State of Delaware as further described in Section 11.3(d). Each of the Parties expressly submits to the exclusive jurisdiction of such arbitration and waives any claim of improper jurisdiction or lack of venue in connection with any claim or controversy that may be brought in connection with this Agreement. Each Party hereby agrees that such arbitration conducted in the State of Delaware, shall have in personam jurisdiction with respect to such Party, and such Party hereby submits to the personal jurisdiction of such proceeding.
