Common use of Vesting and Earning of Award Clause in Contracts

Vesting and Earning of Award. Subject to the terms of the Plan, the Award shall be deemed vested and earned upon such date or dates, and subject to such conditions, as are described in this Agreement, including but not limited to the terms of Schedule A. The Board has sole authority to determine whether and to what degree the Award has vested and is payable and to interpret the terms and conditions of this Agreement and the Plan. (For the purposes herein, references to the “Board” shall include the Committee if and to the extent that the Board has delegated authority to administer the Plan or this Agreement to the Committee.)
