Vesting/Exercise of Unit Awards. Subject to the provisions of this Section 3 and Section 4 below, the Unit Award will become vested and/or exercisable if and to the extent set forth on Exhibit A hereto and upon the terms and conditions set forth in the Program and this Agreement.
