Common use of VESTING OF OPTIONS AND RIGHTS Clause in Contracts

VESTING OF OPTIONS AND RIGHTS. Notwithstanding the vesting period provided for in the Stock Option Plan and any related stock option agreements between the Company and Employee for stock options (“options”) and stock appreciation rights (“rights”) granted Employee by the Company, all options and stock appreciation rights shall be immediately exercisable upon termination of employment. In addition, Employee will have the right to exercise all such options and rights for the shorter of (a) twelve months following his termination of employment or (b) with respect to each option, the remainder of the period of exercisability under the terms of the appropriate documents that grant such options.
