Vintage Wine Trust. Inc., a Maryland corporation, is a newly formed REIT (as such term and other capitalized terms not otherwise defined are defined in Paragraph 12 below) that has made an offering (the "Private Offering") of common stock, exempt from the registration requirements of the Securities Act of 1933 pursuant to Rule 144A, Regulation D and Regulation S thereunder, in connection with which it entered into an agreement to file a resale shelf registration statement and to cause the registration statement to be declared effective as soon as practicable thereafter (the date of such effectiveness, "Registration Effective Date").
