Common use of Violation by Contractor Clause in Contracts

Violation by Contractor. If it willfully or intentionally violates any proprietary rights, copyrights or right of privacy, and Its violation occurs from any of the following uses of Project data: publication, translation, reproduction, delivery, use or disposition, then It will indemnify, save, and hold harmless against any liability, including costs and expenses of: The Federal Government’s officers acting within the scope of their official duties; The Federal Government’s employees acting within the scope of their official duties; and Federal Government’s agents acting within the scope of their official duties; but Exceptions. The Contractor will not be required to indemnify the Federal Government for any liability described in Rights in Data and Copyrights if: Violation by Federal Officers, Employees or Agents. The violation is caused by the wrongful acts of Federal employees or agents; or State law. If indemnification is prohibited or limited by applicable State law.
