Viventia Representations and Warranties. Viventia represents and warrants to Micromet that, as of the Effective Date: 10.3.1 this Agreement has been duly executed and delivered by it and constitutes legal, valid, and binding obligations enforceable against it in accordance with its terms; 10.3.2 it has full corporate power and authority to execute and deliver this Agreement and to consummate the transactions contemplated hereby; and 10.3.3 no approval, authorization, consent, or other order or action of or filing with any court, administrative agency or other governmental authority is required in the jurisdiction of Viventia’s place of business for the execution and delivery by it of this Agreement or the consummation by it of the transactions contemplated hereby. 10.4

The Adviser agrees that it will provide prompt notice to the Sub-Adviser in the event that: (i) the Adviser makes an assignment for the benefit of creditors, files a voluntary petition in bankruptcy, or is otherwise adjudged bankrupt or insolvent by a court of competent jurisdiction; or (ii) a material event occurs that could reasonably be expected to adversely impact the Adviser’s ability to perform this Agreement.

  • THE PARTIES; REPRESENTATIONS AND WARRANTIES All references in this Agreement to the “Fund” are to each of the management investment companies listed on Appendix A, and each management investment company made subject to this Agreement in accordance with Section 20.6 above, individually, as if this Agreement were between the individual Fund and the Custodian. In the case of a series organization, all references in this Agreement to the “Portfolio” are to the individual series of the series organization on behalf of the individual series.
