Common use of Void Transfers Clause in Contracts

Void Transfers. Any attempted Transfer by any Stockholder of any Shares or other interest in the Company in contravention of this Agreement (including, without limitation, the failure of the Transferee, including a Relevant Transferee, to execute an Assumption Agreement) shall be void and of no effect and shall not bind or be recognized by the Company or any other party. No purported transferee shall have any voting rights or any right to any profits, losses or distributions of the Company.

Void Transfers. Any attempted Transfer by any Stockholder of any Shares or other interest in the Company in contravention of this Agreement in any respect (including, without limitation, including the failure of the Transferee, including a Relevant Transferee, Transferee to execute an Assumption Agreementa Joinder Agreement in accordance with Section 2A(ii)) shall be void and of no effect ineffectual and shall not bind or be recognized by the Company or any other party. No purported transferee shall have any voting rights or any right to any profits, losses or distributions of the CompanyPerson.

Any attempted Transfer by any Stockholder of any Restricted Shares or other interest in the Company in contravention of this Agreement (including, without limitation, the failure of the Transferee, including a Relevant Transferee, Transferee to execute an Assumption Agreementagree to be bound by the provisions of this Agreement applicable to Management Investors) shall be void and of no effect ineffectual and shall not bind or be recognized by the Company or any other party. No purported transferee shall have any voting rights or any right to any profits, losses or distributions of the CompanyPerson.

Any Transfer or attempted Transfer by any Stockholder of any Investor Shares or other interest in the Company in contravention or violation of any provision of this Agreement (including, without limitation, including the failure of the Transferee, including a Relevant Transferee, Transferee to execute an Assumption a counterpart to this Agreement) shall be void and of no effect ineffectual and shall not bind or be recognized by the Company or any other party. No Person, and the Company shall not record such Transfer on its books or treat any purported transferee shall have of such Investor Shares as the owner of such Investor Shares for any voting rights or any right to any profits, losses or distributions of the Companypurpose.
