Voluntary Acts or Omissions. The Indemnifying Party shall not be liable for any Claim arising or increased directly as a result of any voluntary act or omission of an Indemnified Party after the Execution Date or a breach of this Agreement or any Transaction Document by the Indemnified Party in any manner whatsoever.
