Voluntary Joinder. The non-controlling Party shall, in addition, have the right to join any lawsuit contemplated by this Section 5.4 as a party thereto, and to participate accordingly.
Voluntary Joinder. If Licensee undertakes the enforcement or defense of the Patent Rights by litigation, either or both Licensors may voluntarily join the litigation, represented by its own counsel at its own expense.

The Bucksbaum Limited Partners and the Management Limited Partner shall be entitled to exercise Conversion Rights and/or Sale Rights in proportion to their relative number of Units as of the Specified Exercise Date.
