Common use of Voluntary Resignation; Termination for Cause Clause in Contracts

Voluntary Resignation; Termination for Cause. If Executive’s employment with the Company terminates (i) voluntarily by Executive (other than for Good Reason during the period that is on or within twelve (12) months after a Change in Control) or (ii) for Cause by the Company, then Executive will not be entitled to receive severance or other benefits except for those (if any) as may then be established under the Company’s then existing written severance and benefits plans and practices or pursuant to other written agreements with the Company.

Voluntary Resignation; Termination for Cause. If Executive’s employment with the Company and its subsidiaries terminates (i) voluntarily by Executive in a voluntary resignation (other than for Good Reason during the period that is on Change of Control Period or within twelve (12) months after a Change in Control) following the sale of all or (ii) substantially all of the assets of the Automotive Division), or if Executive’s employment is terminated for Cause by the Companyor due to Executive’s death or Disability, then Executive will shall not be entitled to receive severance or other benefits except for as otherwise provided by applicable law or those (if any) as may then be established available under the Company’s then existing written severance and benefits benefit plans and practices or pursuant to other written agreements with policies in effect at the Companytime of such termination.
